Beehive Model A's BY-LAWS

ARTICLE I 

 

          Section 1.  The name of this club shall be the Beehive Model A’s of Northern Utah. 

 

          Section 2.  The purpose of this club shall be: a. to serve as a medium of exchange of ideas, information, and parts for admirers of the Model A Ford (and Model AA Ford trucks); and to aid them in their efforts to restore and maintain the automobile in a manner to attract prestige and respect within the community; to encourage and maintain among its members the spirit of good fellowship, sociality, and fair play through club sponsored activities including the use of the Model A Ford; and to encourage family participation. 

         

          Section 3. The club shall be non-commercial, non-sectarian, and non-partisan. The club will be registered with the State of Utah as a non-profit organization. 

 

ARTICLE II 

          Membership 

 

          Section 1.  Members. Any person of good character interested in the stated purpose of the club is eligible for membership. 

          

          Section 2.  Dues. The annual club dues are to be determined as required by a majority vote of the officers of the club, subject to ratification by a majority of members attending a regularly scheduled club meeting. 

          

           Section 3. Cancellation. Membership will be cancelled if dues are not paid in full before the third meeting of each calendar year. 

          

           Section 4. Calendar Year. The calendar year of the club shall be from January 1st through December 31st. 

          

           Section 5. Suspension. The officers shall have the power, if action is ratified by a majority of members at a regularly scheduled club meeting, to suspend or terminate the membership of any member for conduct which disturbs the order, dignity or harmony, or impairs the good name, popularity, or prosperity of the club. A member may also be terminated for non-payment of dues or for any conduct in violation of these by-laws. 

 

If a membership is suspended for a period of time, at the expiration of said time, the suspended member may petition the officers for reinstatement. Said petition will be presented for approval at a regularly scheduled meeting of the club. Reinstatement will require a three-fourths affirmative vote of attending members for approval of reinstatement. 

          

          Section 6. Model A Ford Club of America. All members of the club will be encouraged to join the Model A Ford Club of America (MAFCA). 

 

ARTICLE III 

 Officers 

          

          Section 1.  Number of Officers. The officers of this club shall be President, President-Elect, Vice-President, Secretary/Treasurer, Newsletter Editor, and Historian/Correspondent. 

 

          Section 2.  The term of each officer shall be one year with the exception of the President-elect who will serve a total of two years, one as President-elect, and one as President. New officers will be nominated and voted upon at the regularly scheduled meeting of the club each November. The new officers will take charge in January of the ensuing year. 

 

ARTICLE IV 

 

Duties of Officers 

 

          Section 1.  President. The President shall preside at all meetings of the members and board of officers and shall perform the duties usually associated with that office. 

 

          Section 2. Vice-President. The Vice-president shall act as an assistant to and under the direction of the President. The Vice president shall be vested to perform all the duties of the President in the event of his/her absence, death, resignation, or inability to serve. 

 

          Section 3.  President-elect. The President-elect shall act as an assistant to, and under the direction of the president. He/she shall be vested to perform any of the President’s duties in the absence of the President and Vice-president. The President-elect will automatically advance to the office of President the following year. 

 

          Section 4.  Secretary/Treasurer. The Secretary/Treasurer will maintain a club roster and correspond with members under the direction of the President; maintain an accounting of all club monies and property; and keep a record of all business transactions of the club. 

 

          Section 5.  Historian/Correspondent. The Historian will keep basic club organization documents, a history of club activities in pictures and words, and a file of club newsletters. 

 

          Section 6.  Newsletter Editor. The Newsletter Editor will gather and publish news of the club and its members including information from officers and members concerning events, activities, and other significant information. He/she will forward a copy of each newsletter to MAFCA. 

 

ARTICLE V 

 

Finances 

 

          Section 1.  No officer has the authority to spend or obligate the club or any amount in excess of $300.00 without the specific prior authority of a majority of the Board of Officers. 

 

          Section 2. The Board of Officers cannot spend or authorize the spending of any amount in excess of $500.00 without the prior approval of the majority of the club members present at a regularly scheduled meeting of the club. 

 

          Section 3. All disbursements of club funds will be by check drawn from the club checking account. Except as exempted by the President, all disbursements will require two signatures on each check. The signatories shall be the club President, Vice-president, President-elect and/or Secretary/Treasurer. 

 

          Section 4. The financial records of the club shall be informally audited by a non-officer member of the club and the results of such audit presented to the club membership the first calendar quarter of each year. 

 

ARTICLE VI 

 

Personal Liability 

 

          Section 1. All persons or corporations extending credit to, contracting with, or having any claim against the club or the Board of Officers shall look only to the funds and property of the Club or payment of any contract or claim or for the payment of any debt, damage, judgment, or decree, or any other money that may otherwise become due or payable to them from the Club or the Board of Officers, so that neither the members of the Club nor the Board of Officers, present or future shall be personally liable therefor. 

 

Under no circumstances shall the monies or property of the Club be loaned or pledged to, or for any other person, firm or corporation nor shall the Club, its property, officers, or members be responsible for any debts, damages or liabilities of any kind or nature incurred or sustained by any other firm, corporation or individual. 

 

ARTICLE VII 

 

Amendments 

 

          Section 1. Manner of Amendment. These By-laws may be amended or repealed, and additions may be made at any regular scheduled meeting, such amendments or other changes to be approved by a two-thirds vote of members present. 

 

AUTHENTICATION 

 

These By-laws are to replace the club By-laws dated January 14, 2019, as approved by the membership at the regularly scheduled meeting on January 10, 2022.
